Abstract

This study aimed to identify the level of commitment of the public shareholding company in Palestine to the principles of the governance as the researcher used the descriptive analytical method, and the questionnaire was used as a key tool in the initial data collection. Four hundred questionnaires were distributed and the researcher got 374 out of them. Thus, the proportion of respondents to the study tool was (93.5%) of the original community. The researcher used several statistical methods to test hypotheses, including (Pearson correlation coefficient, and the arithmetic mean). Among the most important findings of the research: 1. the level of administrative decisions: it shows that the public shareholding companies in Palestine is committed to disclose the issuer of administrative decisions in general, also it turns out that the administrative decisions in public shareholding companies contribute to the achievement of the company's total message as well as it is consistent with the general policy of the company. However, there is still weakness in the level of the administrative decisions in joint-stock companies. 2. The efficiency of the administrative systems, it shows that the public shareholding companies keen to provide support to the decisions of managers in senior management, as it turns out that the administrative systems in joint-stock companies achieve regulatory objectives set. Moreover, it finds out that there is an appropriate structure for administrative systems in joint stock companies, it’s characterized by simplicity in contributing companies. However, these systems need further development and improvement to fit with modern management systems which is considered one of the most important pillars of the success of corporate governance in the modern era. 3. the level of performance of the company: it shows that public shareholding companies achieve the goals set for it, and it achieves positive results for its work, as it turns out that it has an obligation to the public shareholding companies to the rules and principles of corporate governance to some acceptable extent. However, this commitment is still weak compared to the contribution of companies to other countries. 4. satisfaction of shareholders: It shows that the public shareholding companies facilitate and simplify the procedures for shareholders, it also works on a giving the employee full-time to provide the service to shareholders, as it turns out that the joint stock companies make sure that the company provides better م services to shareholder, the companies also provide services to shareholders on time. 5. the level of commitment to the principles of corporate governance: It’s been shown that the public shareholding companies have standards to define the membership of the board members on the boards of other companies. Furthermore, the Board of Directors in the joint-stock companies comprises at least three members have an academic qualification and experience in the relevant areas of the company's work. The study recommended a number of recommendations including: 1. The introduction of specialized departments within corporations interested in governance issues and shall develop training programs to consolidate the objectives and requirements of the task of governance. 2. There should be full compliance with the requirements of the application of governance by the departments of companies with a high degree in all areas, and that is achieved through the activation of oversight by the Securities Commission, and the Controller of Companies and managing the financial market. 3. Confirming that the majority of the members of the Board of Directors of independent members, so as to increase the effectiveness of the Council's performance in all cases entrusted to it, so as to achieve benefits for all reconciliation and the owners of the company
