Abstract

هدفت الدراسة إلى التعرف على أثر تطبيق آليات حوكمة الشركات (حجم مجلس الإدارة، اجتماعات مجلس الإدارة، الشهادة المهنية، التخصصات الأكاديمية، تعدد العضويات، الأعضاء غير التنفيذيين، العنصر النسائي، حجم لجنة التدقيق)، على ربحية السهم، بالتطبيق على الشركات المدرجة في بورصة فلسطين، ولتحقيق هذا الهدف اتبعت الدراسة المنهج الوصفي التحليلي والمنهج التجريبي، ولتحليل البيانات التي تم جمعها واختبار الفرضيات تم استخدام العديد من الأساليب الإحصائية الوصفية والاستدلالية المناسبة كالوسط الحسابي والانحراف المعياري واختبار التوزيع الطبيعي واختبار التداخل الخطي ومعامل ارتباط بيرسون واستخدام تقنية المربعات الصغرى العادية، وبلغ حجم عينة الدراسة والتي اكتملت بياناتها المالية لتقدير متغيرات الدراسة مكونة من 196 مشاهدة، بما نسبته 80% من حجم المجتمع، من مختلف القطاعات خلال سلسلة زمنية مدتها 5 سنوات من عام (2017–2021)، وتم استخدام برنامج التحليل الاحصائي المتطور (STATA) لإجراء المعالجات الإحصائية واختبار فرضيات الدراسة. وتوصلت نتائج الدراسة إلى وجود تأثير إيجابي دال احصائياً لتطبيق آليات الحوكمة مجتمعة (حجم مجلس الإدارة، اجتماعات مجلس الإدارة، الشهادة المهنية، التخصصات الأكاديمية، تعدد العضويات، الأعضاء غير التنفيذيين، العنصر النسائي في مجلس الإدارة، حجم لجنة التدقيق) على ربحية الأسهم، إلا أنه قد تبين ضعف في الشهادات المهنية والتخصصات الاكاديمية لأعضاء مجلس الإدارة على ربحية الأسهم للشركات المدرجة في بورصة فلسطين، بالإضافة إلي أن العنصر النسائي في مجلس الإدارة غير حاضر لدى معظم الشركات الموجودة في بورصة فلسطين. ويوصي الباحث: بضرورة تعزيز تطبيق قواعد الحوكمة في الشركات الفلسطينية، وكذلك المزيد من الإفصاح عنها في القوائم المالية، وكذلك إلزام لجان المراجعة في مجالس الإدارة على المعارف اللازمة والمرتبطة بدور لجان التدقيق، كما يوصي بالإفصاح في القوائم المالية عن المعلومات المرتبطة بقواعد حوكمة الشركات. كلمات افتتاحية: حوكمة الشركات، ربحية السهم، مجلس الإدارة، حجم لجنة التدقيق Abstract The study aimes to identify the effect of applying corporate governance mechanisms (board size, board meetings, professional certification, academic majors, multi-memberships, non-executive members, number of women in the board of directors, size of the audit committee) on the profitability of shares within Palestinian listed companies. In order to achieve the study objectives, the study followed the descriptive analytical approach and the experimental approach inclding linear interference test, Pearson correlation coefficient and OLS technique. The size of study sample, whose financial statements were completed for estimating study variables consisted of 196 observations representing 80% of the community size from various sectors during a 5-year time series from (2017-2021), and the advanced statistical analysis program (STATA) was used. to perform statistical treatments and test the hypotheses. It is concluded that there is a statistically significant positive effect of the application of combined governance mechanisms (board size, board meetings, professional certification, academic disciplines, multiplicity of memberships, non-executive members, number of women in the board of directors, size of the audit committee) on the profitability of shares. However, the professional certificates and academic specializations of the members of the Board of Directors have little effect on the profitability of shares of the companies listed on the Palestine Exchange. The researcher recommends: enhancing weakly committed companies to the application of corporate governance rules such as professional certificates and academic specializations, as well as encouraging boards of directors to make more disclosures of corporate governance rules.
